Terms governing access to VeriFund.
These Terms of Use govern access to and use of the VeriFund website, platform information, account services, software features, financial workflows, documentation, communications, and related services unless a separate written agreement expressly applies.
Effective date: September 24, 2026. By accessing or using VeriFund, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all policies expressly incorporated by reference. If you are using VeriFund on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf.
1. Scope of these Terms
These Terms apply to the public VeriFund website, informational resources, demonstrations, account access, platform features, customer-support interactions, and other services made available under the VeriFund name. Certain customers, organizations, users, integrations, payment services, or professional services may also be subject to separate subscription agreements, order forms, data-processing terms, service descriptions, processor agreements, support terms, or other written contracts. If a separate signed agreement directly conflicts with these Terms, the signed agreement will control to the extent of that conflict.
2. Eligibility and authority
You may use VeriFund only if you are legally capable of entering into a binding agreement and are not prohibited from using the services under applicable law. If you use VeriFund for a committee, campaign, political organization, nonprofit, business, association, governmental entity, or other organization, you represent that you have authority to act for that organization and to provide information, instructions, and authorizations on its behalf.
3. Accounts and account security
Users are responsible for maintaining accurate account information, safeguarding credentials, restricting unauthorized access, and promptly notifying VeriFund of suspected account compromise or misuse. Accounts may not be shared in a manner that bypasses role-based access controls, licensing restrictions, security requirements, or organizational permissions. You are responsible for activity conducted through your account to the extent permitted by applicable law and your applicable customer agreement.
4. Authorized organizational use
VeriFund is designed for legitimate organizational, campaign-finance, financial, administrative, compliance-support, reporting, analytics, and related operational purposes. Customers are responsible for establishing appropriate internal approval procedures, user permissions, segregation of duties, record-review practices, and organizational controls suitable for their activities.
5. No legal, tax, accounting, or regulatory advice
VeriFund provides software, workflow tools, records, analytics, documentation, and compliance-supporting functionality. VeriFund does not act as legal counsel, an accounting firm, a tax adviser, a campaign-finance regulator, a filing authority, a bank, a payment processor, a registered investment adviser, or a fiduciary merely by providing the platform. Website content, software outputs, alerts, reports, calculations, artificial-intelligence-assisted information, and workflow recommendations are provided for informational and operational purposes and are not a substitute for advice from qualified professionals.
6. Campaign-finance and regulatory responsibility
Campaign-finance rules, contribution limits, source restrictions, reporting requirements, filing deadlines, attribution rules, disclaimer requirements, record-retention duties, and other legal obligations vary by jurisdiction, entity type, election, transaction, and factual circumstances. Customers and users remain responsible for determining which laws and rules apply to them, reviewing transactions and reports for accuracy, obtaining professional advice where appropriate, and making required filings or disclosures to the proper authority.
7. Payments and financial workflows
VeriFund may support invoice records, payment requests, transaction records, billing activity, manual settlement workflows, bank-transfer records, check records, electronic payment integrations, reconciliation information, and related financial operations. Availability of a payment method does not mean that every transaction is lawful, approved, guaranteed, reversible, or available in every jurisdiction. Customers are responsible for verifying authorization, source, amount, purpose, recipient, contribution status, refunds, reversals, reconciliation, reporting, and other requirements applicable to each transaction.
8. Cryptocurrency and digital assets
Where VeriFund supports cryptocurrency or other digital-asset workflows, those features are intended to help organizations document and administer activity, including transaction references, contributor or counterparty information, valuation records, timestamps, review history, and related reporting data. Digital assets do not eliminate campaign-finance, tax, sanctions, anti-fraud, source-verification, contribution-limit, refund, accounting, or other legal obligations. Users must determine whether a digital-asset transaction is permitted and how it must be valued, recorded, reported, retained, returned, refunded, or otherwise handled under applicable law.
9. Payment providers and third-party financial services
Electronic payment execution may depend on third-party payment processors, banks, wallet providers, financial institutions, identity-verification providers, or other external services. Those providers may impose separate terms, fees, eligibility standards, underwriting requirements, transaction limits, security procedures, settlement schedules, prohibited-use rules, and compliance obligations. VeriFund does not control the independent decisions, availability, uptime, authorization, settlement, reversals, holds, chargebacks, or regulatory obligations of third-party providers.
10. Customer data and responsibility for submitted information
Customers and users are responsible for the legality, accuracy, quality, integrity, and appropriateness of information they submit, upload, import, transmit, record, or otherwise make available through VeriFund. You represent that you have the rights, permissions, notices, consents, and legal authority necessary to provide such information and to instruct VeriFund to process it for the requested purposes.
11. Privacy and data protection
Personal information is handled in accordance with the VeriFund Privacy Policy and any applicable written data-processing terms. Customers remain responsible for their own privacy notices, lawful-basis determinations, consent requirements, data-subject obligations, data-retention requirements, and other privacy responsibilities arising from information they collect or process through the platform.
12. Security responsibilities
VeriFund uses administrative, technical, and organizational safeguards designed to protect the platform and information processed through it. Users and customers must also maintain appropriate security practices, including safeguarding credentials, managing access permissions, promptly removing access when no longer required, using supported devices and browsers, protecting endpoint systems, and reporting suspected security incidents. No technology environment can be guaranteed to be completely secure or uninterrupted.
13. Acceptable use
You may not use VeriFund to violate law, infringe the rights of another person, facilitate fraud, conceal unlawful financial activity, evade contribution or transaction restrictions, impersonate another person, submit knowingly false records, obtain unauthorized access, interfere with service operation, distribute malicious code, probe or test systems without authorization, circumvent security or access controls, scrape or extract data in violation of law or contract, misuse credentials, or use the services in a manner that could materially harm VeriFund, its customers, users, or third parties.
14. Prohibited financial and political activity
VeriFund must not be used to knowingly facilitate prohibited contributions, unlawful coordination, fraudulent disbursements, unauthorized transfers, false reporting, money laundering, sanctions evasion, bribery, theft, identity misuse, or other unlawful financial or political activity. VeriFund may restrict or suspend access where reasonably necessary to investigate suspected misuse, protect users or systems, comply with law, enforce contractual restrictions, or respond to a valid legal request.
15. Artificial intelligence and automated assistance
VeriFund may provide artificial-intelligence-assisted analysis, summaries, classifications, explanations, recommendations, or workflow support. Such functionality is intended to assist human users and may be incomplete, inaccurate, outdated, or dependent on the quality of source data. Users are responsible for independently reviewing consequential financial, legal, compliance, reporting, and operational decisions. AI-generated or AI-assisted output should not be treated as legal advice, regulatory approval, or a substitute for professional judgment.
16. Third-party services and links
VeriFund may link to, integrate with, or depend on third-party websites, applications, APIs, processors, communication services, identity services, analytics tools, or other technology. Third-party services are governed by their own terms and privacy practices. VeriFund is not responsible for independent third-party content, availability, security, acts, omissions, policies, or performance except to the extent expressly required by applicable law or a written agreement.
17. Intellectual property
The VeriFund platform, website, software, interfaces, workflows, designs, documentation, text, graphics, logos, trademarks, service marks, databases, compilations, and other materials are protected by intellectual-property and other applicable laws. Except for rights expressly granted in writing, no license or ownership interest is transferred to users. Customers retain rights they lawfully hold in their own data and materials, subject to the rights reasonably necessary for VeriFund to provide, secure, maintain, and support the services.
18. Feedback and suggestions
If you voluntarily provide ideas, suggestions, enhancement requests, recommendations, or other feedback concerning VeriFund, you authorize VeriFund to use that feedback for product development, improvement, support, security, documentation, and business purposes without restriction or compensation, provided that VeriFund does not acquire ownership of confidential customer data merely because feedback is submitted.
19. Confidential information
Information identified as confidential, or that reasonably should be understood as confidential given its nature and the circumstances of disclosure, should be protected from unauthorized use or disclosure. Confidentiality obligations contained in a separate nondisclosure agreement, customer agreement, employment agreement, or other written contract remain governed by that agreement.
20. Service availability and modifications
VeriFund may modify, improve, replace, suspend, discontinue, or add features, workflows, integrations, interfaces, documentation, or services from time to time. Availability may be affected by maintenance, upgrades, security events, third-party services, internet conditions, legal requirements, force majeure events, or other circumstances. Material contractual service commitments, if any, are governed by the applicable written customer agreement or service-level commitment.
21. Pricing, billing, taxes, and fees
Pricing, billing intervals, included features, usage limits, taxes, transaction charges, service fees, renewal terms, credits, refunds, and payment obligations are governed by the applicable order form, subscription agreement, invoice, or other commercial terms. Public website pricing or descriptions may be changed or updated and do not override a signed customer agreement.
22. Suspension and termination
VeriFund may suspend or terminate access when reasonably necessary to address nonpayment, material breach, unauthorized use, security threats, suspected fraud, legal requirements, abuse, infringement, risk to other users, or other circumstances permitted by applicable law or contract. Customers may terminate services as provided in their applicable agreement. Following termination, access to data and services may be limited or discontinued in accordance with contractual obligations, retention requirements, backup practices, and applicable law.
23. Disclaimers
To the maximum extent permitted by applicable law, the website, platform, documentation, and services are provided on an "as is" and "as available" basis except to the extent an express warranty is provided in a separate written agreement. VeriFund disclaims warranties that are not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, noninfringement, uninterrupted availability, error-free operation, or guaranteed legal or regulatory compliance. Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.
24. Limitation of liability
To the maximum extent permitted by applicable law and except as otherwise expressly provided in a separate written agreement, VeriFund will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings arising out of or relating to use of the website or services. Any additional limitations, exclusions, liability caps, or negotiated remedies applicable to a customer relationship are governed by the relevant written agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
25. Indemnification
To the extent permitted by applicable law and subject to any separate written customer agreement, you agree to be responsible for claims, losses, liabilities, damages, costs, or expenses arising from your unlawful use of VeriFund, violation of these Terms, infringement of third-party rights, misuse of customer or personal data, or unauthorized financial or political activity conducted through your account. Any negotiated indemnification obligations in a separate signed agreement control over this general provision.
26. Compliance with law, sanctions, and export controls
Users must comply with all laws and regulations applicable to their use of VeriFund, including campaign-finance rules, financial laws, privacy laws, sanctions restrictions, export-control requirements, anti-fraud laws, recordkeeping obligations, and other applicable legal requirements. You may not use VeriFund where such use is prohibited by law or would cause VeriFund to violate applicable legal obligations.
27. Governmental and regulatory requests
VeriFund may preserve, disclose, restrict, or otherwise process information when reasonably necessary to comply with applicable law, a valid subpoena, court order, regulatory request, governmental demand, legal process, or other lawful authority. Where legally permitted and appropriate, VeriFund may notify affected customers or users of such requests.
28. Electronic communications
By using VeriFund or providing electronic contact information, you consent to receive service-related communications electronically, including account notices, security communications, billing information, policy updates, and other operational messages. Marketing communications, where used, are subject to applicable consent and opt-out requirements.
29. Changes to these Terms
VeriFund may update these Terms to reflect changes in the services, legal requirements, business operations, security practices, or commercial offerings. The effective date above will be updated when revised Terms are published. Where required by law or contract, additional notice of material changes may be provided. Continued use after an applicable effective date may constitute acceptance where permitted by law.
30. Contract hierarchy
If you are subject to multiple VeriFund documents, the following general hierarchy applies unless the documents expressly state otherwise: a mutually signed customer agreement or order form controls over these general Terms; applicable data-processing, security, support, or service-level terms control for their specific subject matter; these Terms control general use of the website and services; and posted policies apply to the extent incorporated by reference.
31. Assignment
You may not assign or transfer your rights or obligations under these Terms in a manner prohibited by an applicable customer agreement or by law. VeriFund may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, corporate restructuring, or transfer of the applicable business, subject to applicable law and contractual restrictions.
32. Severability
If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect unless applicable law requires otherwise.
33. No waiver
A failure or delay by VeriFund to exercise or enforce a right or provision does not waive that right or provision. A waiver is effective only if made in writing by an authorized representative and only for the specific matter addressed.
34. Entire agreement for website use
These Terms, together with the Privacy Policy and other policies expressly incorporated by reference, constitute the general agreement governing use of the VeriFund website and services except where superseded or supplemented by a separate written agreement. They do not alter separately negotiated contractual rights or obligations unless expressly stated.
35. Survival
Provisions that by their nature should survive termination or expiration-including provisions concerning intellectual property, payment obligations, confidentiality, disclaimers, limitations of liability, indemnification, legal compliance, and dispute-related rights-will survive to the extent permitted by applicable law and any governing written agreement.
36. Governing law and dispute terms
Any governing-law, venue, arbitration, jury-waiver, class-action-waiver, or dispute-resolution provisions applicable to a paid customer relationship should be stated in the applicable signed agreement or other legally binding commercial terms. These general website Terms do not independently designate a specific state, country, court, or arbitration forum.
37. Contact
Questions regarding these Terms, account use, legal notices, or VeriFund policies may be submitted through the VeriFund contact page.
These Terms are intended to establish general rules for use of VeriFund. Specific customer rights, service obligations, pricing commitments, security commitments, data-processing obligations, warranties, support terms, and negotiated legal protections may be established separately in a signed customer agreement.
